Corporations, LLCs, and other similar entities that are created in the U.S. or registered to do business in the U.S. Some exceptions apply, such as publicly traded companies, regulated entities, and inactive entities. What Information is Required? Entity Information: Legal name Address State of formation or registration Tax Identification Number (TIN) Beneficial Owner Information: Full legal name Date of birth Address Government-issued identification number (e.g., passport or driver’s license) Image of the identification document Who Qualifies as a Beneficial Owner? Any individual who directly or indirectly owns 25% or more of the entity. Anyone who exercises substantial control over the company, even if they do not own 25% or more. Filing Deadlines: New companies: Must file BOI information at the time of formation. Existing companies: Must comply with filing requirements by a deadline set by 01/01/2024. Penalties for Non-Compliance:

Failure to comply with BOI filing requirements can result in civil and criminal penalties, including fines of $591 per day uo to $10,000.
